Jeremy Rees

Jeremy advises local and interstate clients on corporate and commercial matters including event management, private mergers and acquisitions, structuring and the establishment and operation of trusts, negotiation and preparation of shareholder and unit holder agreements, drafting and advising changes to company constitutions and the plethora of contracts arising in general commercial practice.

He has extensive experience in the provision of legal advice to: the Major Events industry; SME sector; and has key portfolio expertise covering corporate advisory, acquisitions and disposals, transactions, trusts, estate and business succession planning and asset protection - fields closely aligned to wealth generation, control and preservation.

After practising law for 34 years Jeremy, is well respected in the Adelaide market for legal services, regarded by some as ‘a lawyer’s lawyer’ and uses a wide range of legal knowledge and experience to provide commercially effective legal solutions. His fundamental goal is to make running your business or transaction easier, by being readily accessible and providing prompt, friendly and pragmatic advice.

Expertise

Jeremy’s expertise and experience includes:

  • Negotiation and drafting of complex commercial contracts, including:
    • for major events: predominantly motor sport sanction agreements (most recently for the VALO Adelaide 500 and Hidden Valley Raceway (Darwin) and before those the agreement for the inaugural Adelaide 500 that became the Clipsal 500);
    • international sports sanction agreement and venue use agreements: including, international cricket (ICC 50-Over World Cup, T20 World Cup) soccer, international and national rugby union and rugby league, Monster Trucks, motor cross;
    • international and local concerts – stand alone or in conjunction with major events: including, the contracts for each after race concert for the VALO Adelaide 500, Rolling Stones and ACDC;
    • hospitality functions and events, including venue hire agreements and catering services (including Titanium Arena, Monarto Zoo and the Oval Hotel);
    • long term venue ticketing agreements;
    • long term venue cleaning services;
    • long term venue security services;
    • sponsorships: including RoofClimb Adelaide Oval; and
    • shareholder and unit holder agreements;
  • The sale and purchase of large and small-to-medium businesses including due diligence investigations and reporting
  • Corporations Act compliance including:
    • corporate and managed investment scheme fundraising via the issue of securities or interests in managed investment schemes, AFS licensing, structuring,
    • preparation and vetting of prospectuses for the issue of shares and interests, undertaking associated due diligence investigations and preparing the scheme constitutions, ancillary contracts and compliance reports and associated due diligence;
    • capital reductions, the provision of financial assistance by companies in relation to the acquisition of their shares;
    • directors’ duties; and
    • related-party transactions and advising listed and unlisted public companies on general commercial issues including acquisitions and disposals of assets of many kinds; preparation of notices of meetings of members and related legal requirements
  • Estate and business succession planning, testamentary trusts and the establishment and uses of:
    • Inter vivos fixed and non-fixed trust estates for commercial purposes
    • Transfers or sales of shares and units in unit trusts
    • Stamp duty in relation to acquisitions and disposals of assets in South Australia and the variation of classes of objects of discretionary trusts
    • The establishment and use of South Australian based trusts to take advantage of the planning opportunities provided by South Australian law for the use of such trusts as vehicles for the intergenerational acquisition, holding, management and devolution of wealth

  • Preparing the sanction agreements for the VALO Adelaide 500 and Hidden Valley Raceway (Darwin).
  • Advising and assisting an unlisted public company to comply with the takeovers provisions of the Corporations Act in the context of an off-market acquisition.
