Leading national law firm Mills Oakley has advised TMLabs Pty Ltd on the sale of 100% of the company’s share capital to Coforge Technologies Australia Pty Ltd, a wholly-owned subsidiary of Coforge Limited. The parties successfully completed the transaction on 16 April 2025.
TMLabs Pty Ltd is an independent cloud software consultancy located in Australia that focuses on ServiceNow Architecture, implementations, and managed services.
Founded in 2018 by Tobias Schwartz and Michael Starkey, the company employs over 60 people across Australia and specialises in delivering innovative solutions and application development expertise, helping customers advance beyond foundational needs in industries such as construction, financial services, education, telecommunications, government, utilities, and technology.
Coforge Technologies Australia Pty Ltd is a wholly owned subsidiary of Coforge Limited, a multinational information technology company based in India, with presence in the USA, Europe, Middle East and Asia Pacific. Coforge is listed on the National Stock Exchange of India Limited and BSE Limited (formerly Bombay Stock Exchange Limited).
Mills Oakley advised TMLabs Pty Ltd on all legal aspects in relation to the transaction including negotiating sale documentation, managing the Completion process and advising on the terms of the parties’ ongoing relationship post-Completion. Mills Oakley also advised on the taxation aspects of the transaction.
