Patrick Johnson

Patrick has over 20 years’ experience advising corporates and private capital investors on public and private M&A, joint ventures, co-investments, growth capital transactions, equity fundraisings, leveraged buyouts, carve outs and management incentive plans.

Patrick regularly advises on cross border M&A and works closely with international clients who are investing in Australian companies or assets or otherwise doing business in Australia.

Patrick advises clients across a broad range of industries, with a particular focus on real estate and infrastructure related M&A. He has acted for a number of leading financial institutions and private equity investors in these sectors including Macquarie, KKR, Carlyle, Cerberus, Brookfield, Morgan Stanley and Blackstone. His experience spans all major real estate and infrastructure asset classes, with a particular focus on digital infrastructure, data centres, logistics and hotels.

Prior to joining Mills Oakley, Patrick was a partner at international law firm, Bryan Cave Leighton Paisner in London.

  • Advised RELA Australia on its partnership with Oaktree Capital and acquisition of a portfolio of renewable lease interests from Aviva
  • Advised Driscoll’s on its participation in a consortium with Paine Schwartz Partners and British Columbia Investments on the take private of Costa Group for $2.5bn, implemented by way of scheme of arrangement
  • Advised Macquarie portfolio company, Voneus Broadband on numerous transactions including its merger with Rural Broadband Solutions (a digital infrastructure platform controlled by Tiger Infrastructure Partners) and related funding arrangements
  • Advised Skyports on its joint venture with Abu Dhabi Airports for the development of Abu Dhabi’s commercial vertiport network.
  • Advised Carlyle on numerous transactions including the acquisition of senior housing developer, Beechcroft Group and the establishment of a logistics investment platform with ESR
  • Advised KKR on numerous transactions including the sale of its UK student accommodation platform to Greystar and the establishment of build to rent investment platforms with Moda Living and Apache Capital
  • Advised Omnam Group on a series of joint ventures and co-investments with Mohari Hospitality to acquire and develop ultra-luxury hotels in Europe, including Baccarat Villa Camerata in Florence, the Rosewood Bauer Hotel in Venice and the Hôtel Saint-James & Albany in Paris
  • Advised AIG, Everest, Aviva, Euclid, Riskpointand other warranty and indemnity insurers on the underwriting of numerous insured M&A and private equity transactions.
