Robin Lonergan

Robin has 40 years’ experience acting for Australian and international clients in mergers and acquisitions and corporate advisory matters. He has acted for many international clients setting up operations in Australia, advising about the Australian operations and assisting with the expansion of the business in Australia and in using Australia as a base for expansion into Asia.
His clients include businesses in the manufacturing, aged care and resources industries, as well as acting for construction operations including architects and energy resources.

Shareholder Arrangements

  • Drafting and negotiating numerous shareholders agreements to professional service companies, IT companies and resource companies
  • Advising the board on transfer of a Not for Profit organisation to registration under Corporations Act and regulation by ACNC
  • Advising the board of a multinational manufacturing company on its obligations under the US and UK AML/CTF legislation
  • Advising a shareholder of a professional services company regarding the breakdown of the ongoing business relationship and eventual share sale

International Operations

  • Advising travel company on setting up operations in Australia including registering as a foreign company with ASIC
  • Advising US company on corporate reporting issues including cross-company guarantees
  • Advising EU company on its Australian operations in the electronics industry including issues arising from unauthorised imports
  • Advising Australian organisation on contracts for consulting services outside Australia and issues arising from payments retained under UN sanctions
  • Advising in relation to the construction of coal prep plants in Australia, South America and Indonesia

Contract Advice

  • Advising a US headquartered global manufacturing and distribution network with facilities located in North America, South America, Australasia, China, and Europe producing carbon compounds, chemicals, and treated wood products for the aluminum, railroad, specialty chemical, utility, rubber, steel, residential lumber, and agriculture industries.
  • Advising on service delivery contracts for a US manufacturing company
  • Advising on resource and mining service agreements in Australia, Indonesia and South America.
  • Advising about professional service and consulting agreements for architects and engineers
