Michael Brady is a special counsel in our Perth office. Working in the areas of ­­­­­­­corporate advisory, transactional and equity capital markets, Michael predominantly acts for corporations active in the minerals, oil and gas, mining services and commodities sectors. He assists a diverse range of local and international, private and publicly listed clients, with:

  • Corporate, commercial, ECM and E&R specific advice;
  • Transaction structure, negotiation and implementation advice;
  • Commercial contract negotiation advice; and
  • Undertaking legal due diligence investigations.

Michael has significant experience across a broad range of matters, including:

  • Acquisitions, mergers and divestments;
  • Joint venture and joint operating agreements;
  • Farm-ins and farm-outs;
  • Commodity and share sale agreements;
  • Royalty and tribute arrangements;
  • Equity financing – seed, IPO and secondary;
  • Issues related to the exploration, construction, development, production and decommissioning of projects;
  • Market (and JORC) compliance;
  • Mining and petroleum legislation compliance;
  • Company start-up advice;
  • Corporate governance and director duties issues;
  • Resources asset management including application, good-standing, retention and extension as well as related governmental agency liaison and associated administrative court issues;
  • Alternative dispute negotiation and resolution; and
  • Foreign investment and related regulatory compliance advice.

In addition to this experience, Michael has developed specialty legal expertise relating to issues involving inbound foreign investment, State agreements (ratified Government contracts), and also in regards to companies involved within the industrial minerals sector and matters related to Floating Liquefied Natural Gas (FLNG) technology.

Michael has a highly developed network of business and government contacts at state, national and international levels. His sophisticated understanding of the political, commercial and legal environment ensures that Michael will provide pragmatic advice for undertaking projects and conducting commercial activities in Western Australia, Australia and internationally.

Having previously held board, director, and ‘C’ suite positions within public, private and not-for-profit entities, Michael is acutely aware of the need for corporations to receive commercial, practical, strategic and progressive solutions to their issues in often budget restricted and short time-frame environments.
