Andrew is a Special Counsel in the Corporate Advisory team in our Perth office. Andrew’s primary practice areas are; private and public mergers & acquisitions, joint ventures, commercial contracts, FIRB approvals, shareholder agreements, corporate governance, takeovers and other control transactions, capital raising, and corporations Act & ASX Listing Rule compliance.

He is a trusted advisor to listed and unlisted clients in the mining, energy & infrastructure, aviation, consumer services, testing, inspection & certification, life sciences, technology and maritime sectors, and has a proven track record of managing & leading teams to successfully deliver corporate transactions.  Andrew also has policy, regulatory & litigation experience, having previously worked for both the Attorney General’s Department, and the Takeovers Panel executive.

Key recent experience includes:

  • advising a leading international consumer and commercial services company on multiple Australian acquisitions;
  • advising a listed company in relation to the proposed sale and purchase transaction and resulting change in nature of activities and re-compliance with chapters 1 & 2 of the ASX listing rules;
  • advising the principal of one of Western Australia’s largest distributors of bulk fuels and lubricants in relation to all aspects of the sale of a 50% shareholding stake to a global energy business;
  • advising a global renewable energy company in relation to all aspects of its proposed Australian market entry via the subscription for 51% of the issued shares in an unlisted public company, including Foreign Investment Review Board (FIRB) approval and target shareholder approval under s611, item 7 of the Corporations Act;
  • advising a global inspection, product testing and certification company on all aspects of its acquisition of an Adelaide-based non-destructive testing (NDT) services company; and
  • advising a global aviation company in relation to its acquisition of a controlling stake in a regional airline.

In addition to his work, Andrew regularly presents on topics in his field of expertise in Perth, both for specific client engagements and at industry conferences and seminars. He is also a board member of the Epilepsy Association of Western Australia (Inc), and a member of a number of other societies and organisations.
